DomainsForEquity.com is a platform operated by MarkUpgrade LLC, a Delaware limited liability company, trading as DomainsForEquity.com (“MarkUpgrade”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and related features (collectively, the “Platform”). By using or subscribing to the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. ABOUT DOMAINSFOREQUITY.COM

DomainsForEquity.com is a matchmaking and introduction platform connecting domain owners, startup founders, and investors interested in creative deal structures involving domain names and digital assets.

We are not a domain marketplace, broker, registrar, or escrow service.
We do not buy, sell, or transfer domain names, handle funds on behalf of users, or participate in any transactions between them.
Our role is limited to providing visibility, introductions, and communication tools that help parties explore potential collaboration.

2. ACCOUNTS AND ELIGIBILITY

You must be at least 18 years old and legally capable of entering into contracts to use the Platform.
You agree to provide accurate and current information, maintain account confidentiality, and be responsible for all activities under your account.

3. SUBSCRIPTIONS AND CREDIT SYSTEM

3.1 Plans

We offer the following subscription plans:

• Starter – $29/month – includes 15 credits/month

• Pro – $79/month – includes 40 credits/month

• Elite – $199/month – includes 120 credits/month

• Partner – Custom pricing and credit allocation by agreement

(Prices and plan details are subject to change at any time with reasonable notice posted on the Platform.)

3.2 Credits

Credits represent digital credits used within the Platform to perform specific actions such as:

• Listing domains (10 credits for domains with GoDaddy valuation under $10K; free for $10K+)

• Posting domain requests (10 credits)

• Sending messages or contact requests (2 credits; refundable if no response)

• Boosting listings (10 credits/day)

• Featuring listings in newsletters (25 credits)

Your available credits refresh monthly according to your subscription plan. Unused tokens do not carry over unless explicitly stated.

3.3 Payments

Payments are securely processed via our third-party payment providers (Stripe, PayPal). By subscribing, you authorize recurring monthly charges until canceled.
All fees are quoted in USD and are non-refundable, except in cases of duplicate billing or system error.

3.4 Pricing and Plan Changes

We may adjust subscription fees, credit values, or available features. Any material changes will be communicated on the Platform or via email at least 7 days before taking effect.
Your continued use after that date constitutes acceptance of the updated pricing.

3.5 Cancellations

You may cancel your subscription at any time through your account settings. Your access will remain active until the end of your current billing period.
No prorated refunds are issued for unused time or tokens.

4. USER CONDUCT AND RESPONSIBILITIES

You agree not to:

• Post false, misleading, or deceptive information.

• Solicit users outside the Platform for unrelated purposes.

• Upload or link to illegal, harmful, or infringing material.

• Attempt to manipulate visibility, metrics, or the token system.

We reserve the right to suspend or terminate any account engaging in abuse, fraud, or violation of these Terms.

5. PLATFORM ROLE AND LIMITATIONS

DomainsForEquity.com facilitates introductions and communications only.

While we take reasonable steps to review and verify domain listings, ownership details, and user identities, such verification is based on the information provided by users and publicly available data.

We cannot and do not guarantee the accuracy, authenticity, or ongoing ownership of any listed domain or user claim, nor shall we be held liable for any disputes, errors, or losses arising from such information.

Users are strongly encouraged to conduct independent due diligence before engaging in any discussions, negotiations, or agreements initiated through the Platform.

We do not:

• Participate in negotiations or enforce agreements between users,

• Handle escrow, funds, or domain transfers.

You acknowledge that all business, investment, or partnership discussions initiated through the Platform are solely at your own risk.

We strongly encourage independent due diligence and professional advice before engaging in any transaction.

6. INTELLECTUAL PROPERTY

All Platform content, design, and technology are owned or licensed by DomainsForEquity.com and MarkUpgrade LLC.
Users retain ownership of their submitted content but grant us a non-exclusive, royalty-free license to display and promote it within the Platform.

7. DISCLAIMERS

The Platform and all its content are provided “as is” without warranties of any kind, express or implied.
We make no guarantees regarding visibility, responses, or business outcomes resulting from use of the Platform.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law, DomainsForEquity.com, MarkUpgrade LLC, and their officers or affiliates shall not be liable for any direct, indirect, incidental, or consequential damages arising out of or related to use of the Platform, including any business loss, goodwill, or data.
Your sole remedy is to discontinue use of the Platform.

9. INDEMNIFICATION

You agree to indemnify and hold harmless DomainsForEquity.com, MarkUpgrade LLC, and their affiliates from any claim or demand (including legal fees) arising out of your use of the Platform, your content, or your breach of these Terms.

10. TERMINATION

We may suspend or terminate access at any time, with or without notice, if we believe you’ve violated these Terms or acted against the interests of the Platform.
Sections 6–9 survive termination.

11. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the State of Florida, United States.
Any disputes shall be resolved exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction.

12. CHANGES TO TERMS

We may update these Terms periodically. Updates take effect upon posting. Continued use of the Platform after such posting constitutes acceptance of the new Terms.
